TERMS AND CONDITIONS OF SALE OF MOVABLE PROPERTY ON THE B2C WEBSITE

A.
1. In performance of the obligations arising from the Act on Providing Services by Electronic Means, these Terms and Conditions for the provision of services by electronic means—sale of movable property via the website at: www.centercar-silniki.pl—hereinafter referred to as the “Terms and Conditions,” are hereby established.
2. The sale of goods via this website—hereinafter referred to as the “Shop”—is conducted by CENTER CAR sp. z o.o., with its registered office at Godzikowice 25, 55-200 Godzikowice, entered in the register of entrepreneurs of the National Court Register under KRS number 0001004642, NIP: 9121938810, REGON: 52375996400000—hereinafter referred to as the “Company”—website address: www.centercar-silniki.pl, website administrator’s email address: kontakt@centercar-silniki.pl, contact telephone number: +48 781 080 080. The above basic information is provided clearly, unambiguously and directly through the ICT system used by the Shop.
3. The Terms and Conditions specify, in particular, the rules for using the Shop, purchasing movable property and the complaint-handling procedure. The Company has not joined any code of good practice and, in conducting its business, follows good commercial practice and Christian ethics.
4. The Terms and Conditions constitute an integral part of the agreement for the sale of movable property concluded with the Customer. Acceptance of the Terms and Conditions by the Customer is a condition for concluding the agreement for the sale of movable property.
5. Movable property sold in the Shop is free from physical and legal defects. The Company offers movable property in the following categories: new or used movable property, in particular the following types: remanufactured cylinder heads, oil pumps, remanufactured engines and crankshafts, from its current commercial offer available at: https://centercar-silniki.pl/kategoria/silniki/, containing, in particular, technical descriptions and sale prices of the movable property.
6. The Company is obliged to sell movable property free from defects. The information available on www.centercar-silniki.pl does not constitute an offer for the sale of goods within the meaning of the Civil Code.
7. The prices of movable property stated in the Shop are gross amounts (including the applicable VAT, where applicable) and are expressed in Polish zloty.
8. As a rule, the minimum duration of the Customer’s obligations arising from the agreement for the sale of movable property concluded with the Company is equal to the duration of the Company’s obligations under the sales agreement.
9. The Company uses commonly available computer hardware and software, generally operating on Microsoft Windows, I-OS and Linux operating systems; the Shop is supported by all commonly available web browsers on the domestic market; there are no specific requirements regarding monitor resolution because the website is responsive.
10. Before concluding an agreement for the sale of movable property using the Shop, the Company provides the Terms and Conditions free of charge to persons using the Shop, enabling them to access, reproduce and save them using the ICT system operated by the Company. The Terms and Conditions are provided as a PDF file at: https://centercar-silniki.pl/regulamin-b2c.pdf.
11. , which enables it to be downloaded, saved and printed. The remaining terms of the concluded agreement result from the agreed contents of the Customer’s order and the invoice issued by the Company.
12. The Terms and Conditions apply to sales to consumers within the meaning of Article 1 of the Consumer Rights Act and to entrepreneurs referred to in Article 7aa of the Consumer Rights Act, hereinafter jointly referred to as the “Customers”.
13. The provisions of points 1–11 above jointly describe the main characteristics of the Company’s service to the Customer.
B.
14. The minimum technical requirements to be met by the devices and software used by the Customer when using the Shop are as follows:
a) a terminal device with access to the Internet,
b) an up-to-date web browser supporting HTML5, CSS3 and JavaScript,
c) cookies and JavaScript enabled in the web browser,
d) an active e-mail account, if required to place an order, create an Account or contact the Seller,
e) a minimum screen resolution enabling the Store’s content to be displayed correctly, not lower than 1024 x 768 pixels,
f) software enabling the reading of files in PDF format, if the Store provides documents in this format.
15. The Company has no influence over the costs incurred by the Customer when communicating with the Company; as a rule, these are the costs of the Internet connection incurred by the Customer in accordance with the terms on which the Customer uses the Internet.
16. The Company categorically prohibits Customers from providing, via the Shop, content of an unlawful nature, regardless of its type, form or origin. In the event of a breach of the above prohibition, the Company will seek legal protection before courts and other justice authorities.
C.
17. The Company specifies the following terms and conditions for concluding agreements for the sale of movable property referred to in point 5 of the Terms and Conditions.
1) The movable property sold may be brand new and unused, free from physical and legal defects, or used, free from physical and legal defects. The Company clearly indicates which of the above categories applies to each item of movable property offered for sale, while the Customer is required to expressly declare whether they wish to purchase new or used movable property from the Company. In case of doubt, the Parties shall presume that the movable property is used, as this follows from the Company's core business.
2) The Company strongly recommends that Customers comply with all applicable rules for using movable property, in particular using it in accordance with its intended purpose and in devices intended for this purpose, with installation performed by qualified personnel equipped with the devices and software necessary for the proper installation of the movable property, ensuring the proper interaction of components associated with the movable property and its use.
3) The Customer may register with the Shop by creating an individual account, but using the Shop does not require registration or creating an account. Registering a Customer account enables order tracking, access to purchase history and use of promotions.
4) Orders are placed by adding one or more items of movable property to the Cart and proceeding through the remaining order process. Acceptance of the Terms and Conditions and provision of delivery details (or personal data) are also required, including a correct, existing email address and telephone number at which the Company can confirm the order. The data referred to in the preceding sentence are necessary for concluding the sales agreement and for its performance by the Company.
5) By submitting an Order, the Customer declares their intention to conclude with the Company an agreement for the sale of the movable property selected by the Customer under the terms of the Terms and Conditions.
6) A condition for processing an order is its confirmation by the Company, made by email titled “Order in progress,” sent to the email address provided by the Customer and containing information that the order has been accepted, as well as the Company’s receipt of the full sale price for the movable property.
7) Orders for movable property may be placed 24 hours a day, throughout the year. Orders placed on weekdays after 1:00 p.m., on Saturdays, Sundays or public holidays will be reviewed and processed on the first following business day.
8) Orders containing incorrectly completed Customer details, including contact details (e.g. a nonexistent email address or no telephone number), will not be processed. The Company reserves the right in every case to verify an order and cancel it where there are grounds for doubt as to the order’s reliability or where the ordered movable property is unavailable (in the case of prepayment of the sale price, the refund will be made within 7 business days, without interest).
9) The acceptance and processing of an order are conditional upon the availability in the Company’s warehouse of the movable property selected by the Customer. If the ordered movable property is unavailable, the Company undertakes to inform the Customer of the possibility or date of order fulfilment. The Customer may withdraw from the purchase and/or modify the order. In such a case, neither Party will assert any claims against the other Party on account of the failure to fulfil or modification of the order.
10) Orders will be fulfilled immediately after the Company confirms acceptance of the Order and payment of the full sale price.
11) The Company delivers ordered and paid-for movable property using a reputable carrier, namely DHL. The estimated delivery time is 3–5 days within the country from the date the shipment is accepted for carriage.
12) The Customer may collect the ordered movable property at their own expense from the Company’s premises at: Godzikowice 25, 55-200 Godzikowice.
13) The stated prices of movable property do not include the cost of delivery to the Customer. Delivery costs using the reputable carrier DHL are calculated when placing the order in the Shop and paid together with the sale price of the movable property.
18. The Shop offers the following payment methods for movable property:
a) online payment via PayU,
b) BLIK,
c) instalment payment systems (i.e. PayU Raty, PragmaPay, for example) available via the visible hyperlink in the Store.
19. The Seller reserves the right to change the prices of movable property offered in the Shop, introduce new movable property to the Shop’s offer, conduct and cancel promotional campaigns or make changes to them. The Company’s above right does not affect the prices of movable property applicable to the Customer at the time the Customer places an order.
20. The Customer may order movable property for private purposes in any quantity. The Company’s information on the total sale price for the ordered movable property results from the prices of that property, while delivery costs are specified in point 16(11) above.
21. The Customer consents to the Company issuing invoices electronically to the email address provided by the Customer, in .pdf or another format that prevents editing.

22. Complaints concerning sold movable property may be submitted to the Company’s office: CENTER CAR sp. z o.o., with its registered office at Godzikowice 25, 55-200 Godzikowice, entered in the register of entrepreneurs of the National Court Register under KRS number 0001004642, NIP: 9121938810, REGON: 52375996400000—hereinafter referred to as the “Company”—website address: www.centercar-silniki.pl, website administrator’s email address: kontakt@centercar-silniki.pl, contact telephone number:

23. As a rule, the basis for accepting a complaint for review is the Customer’s presentation of proof of purchase of the movable property (e.g. a receipt, simplified invoice or bank transfer confirmation). Complaints will be considered on the basis of generally applicable law, including the Consumer Rights Act and the Civil Code.
24. The Company informs the Customer that a Customer who has concluded a distance sales agreement for movable property may withdraw from it within 14 days without giving a reason and without incurring costs, except for the costs specified in Articles 33, 34(2) and 35 of the Consumer Rights Act. In addition, Annex 1 to the Terms and Conditions contains a template notice on withdrawal from the agreement for the sale of movable property.
25. The period for withdrawing from the agreement for the sale of movable property begins when the Customer or a third party indicated by the Customer, other than the carrier, takes possession of the item.
26. The Customer may withdraw from the agreement for the sale of movable property by submitting a withdrawal notice to the Company. The notice may be submitted using the form whose template constitutes Annex 2 to the Terms and Conditions; to meet the deadline, it is sufficient to send the notice before the deadline expires.
27. The Company enables the withdrawal notice concerning the agreement for the sale of movable property to be submitted electronically, so the Customer may also withdraw from such a sales agreement:
a) using the contract withdrawal form template constituting Appendix No. 2 to these Terms and Conditions,
or
b) by submitting a declaration at the Company's registered office.
28. The Customer shall bear only the direct costs of returning the movable property, of which the Company informs the Customer.
29. If the Customer effectively exercises the right to withdraw from the movable property sales contract, within 14 days of inspecting the movable property returned to the Company, the Company shall refund the amount due to the Customer, which need not be equal to the sale price of the movable property.
30. A Customer exercising statutory rights in the event of physical defects in the movable property shall be subject to generally applicable law as currently in force. The Company does not provide a warranty for movable property sold.
E.
31. The Company does not provide for the termination of sales contracts concluded with Customers under the special conditions of these Terms and Conditions; accordingly, the generally applicable provisions of the Civil Code shall apply in this regard, as amended by these Terms and Conditions and accepted by the Customers.
32. The Company informs Customers of the possibility of using out-of-court complaint-handling and redress procedures and of the rules governing access to those procedures. In particular, the Customer may seek assistance from municipal or district consumer ombudsmen operating on the basis of, among other provisions, Articles 37–46 of the Act on Competition and Consumer Protection. To obtain the contact details of the consumer ombudsman competent for the relevant location, information may be obtained from the relevant city (or municipal) office, or the following phrase may be entered into an internet search engine: ,,consumer ombudsman xx”, where ,,xx” should be replaced with the city or municipality in which the Customer is located.
33. The Company declares that, when concluding distance contracts, it provides the information contained in these Terms and Conditions in a manner appropriate to the type of distance communication medium used—namely, by posting it on the online store's website in a clear manner and in plain language.
34. The Company informs Customers that, no later than when the Buyer expresses the intention to be bound by the contract, the Buyer must give express consent to each additional payment exceeding the agreed remuneration for the Seller's principal contractual obligations, namely the sale price of the movable property and the cost of its delivery.
35. The Company declares that, immediately before the Customer places an order for movable property, it provided the Customer, in a clear and prominent manner, with the information referred to in Article 12(1)(1), (5), (16) and (17) of the Consumer Rights Act.
36. The Company declares that it makes every effort to ensure that, when placing an order, the Customer expressly confirms that they know that ordering movable property entails an obligation to pay for it. In particular, when using a button (or similar function) to place the order, a clear notice is displayed: ,,order with obligation to pay” or another equivalent and unambiguous wording.
37. The Company declares that, on its websites used for electronic commerce, it clearly indicates, no later than at the beginning of the ordering process, clear and legible information about delivery restrictions and accepted payment methods.
38. In these Terms and Conditions and before concluding the contract with the Customer, the Company provided the Customer with clear, understandable and non-misleading information in Polish, sufficient for the proper and complete use of the movable property sold, including the necessary explanations concerning the legal and factual circumstances relating to the movable property. The Company informs Customers that there are no additional documents, instructions or explanations concerning the use of the movable property to be delivered together with it.
F.
39. The Company ensures that Customers have access to up-to-date information about specific risks associated with using the service provided electronically—in an appendix to these Terms and Conditions—which is periodically updated as the risks change; this does not constitute an amendment to the substantive provisions of these Terms and Conditions.
40. The Company informs Customers that software or data not forming part of the content of the service is introduced into Customers' ICT systems, in particular in the form of cookies and similar information technologies. These technologies serve to ensure the proper operation of the Store, maintain the Customer's session after login, remember the Customer's settings and preferences, operate the shopping cart and forms, and compile statistics on Store usage. Their purpose is to ensure the proper performance of services provided electronically, improve the quality of the Store's operation, and adapt its functionality to the Customer's needs.
41. The Company ensures the unambiguous identification of the parties to the service provided electronically—in particular, the Customer—and confirmation of the submission and content of declarations of intent necessary to conclude an electronic contract for the provision of that service, using electronic forms made available on the Store's website, data provided by the Customer when placing an order or registering an Account, individual access details for the Customer's Account, and email messages generated in connection with those activities.
G.
42. In operating the Store, the Company complies with the requirements of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation), as well as applicable national law.
43. The Customer declares that:
a) they have been informed of the right to withdraw consent to the processing of their personal data at any time, and that withdrawing consent is as easy as giving it,
b) they voluntarily consent to the processing of their personal data, on which the performance of the subject matter of the sales contracts concluded (or contracts for the provision of services, if any) and the rights and obligations arising in particular—but not exclusively—from civil or tax law depend,
c) they have been informed of the following information about the personal data controller and the legal bases for processing the data.
44. The personal data controller is CENTER CAR sp. z o.o., with its registered office at Godzikowice 25, 55-200 Godzikowice, entered in the register of entrepreneurs of the National Court Register under KRS number 0001004642, NIP: 9121938810, Regon: 52375996400000—hereinafter referred to as the ,,Company”—website address: www.centercar-silniki.pl, website administrator's email address: kontakt@centercar-silniki.pl, contact telephone number:
+48 781 080 080, and the legal basis for processing personal data is Article 6(1)(a), (b) and (c) of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation).
45. The purpose of processing personal data is the performance of the subject matter of sales contracts for movable property concluded by the Controller with the Customer.
46. Recipients of the personal data include the Controller and other recipients entitled to obtain it whose involvement results from the nature of sales in an online store and the obligations imposed on the Controller by law, in particular: providers of transport, forwarding, financial intermediation, accounting, IT, software development and hosting services; the Controller's employees or service providers; the banks servicing the Controller; tax authorities, courts and prosecutors' offices, and other public administration authorities; and other participants in civil transactions with whom the Controller enters into relations and to whom the Customer's personal data must be provided, such as parties handling the Customer's quality complaints.
47. Personal data shall be stored until the mutual rights and obligations of the Controller and the Customer arising from generally applicable law and the contracts they have concluded expire, in particular until the limitation periods for property-related claims, damages claims and claims under statutory warranty expire.
48. The Customer has the right to:
a) request from the Controller access to the personal data concerning them, its rectification, erasure or restriction of processing,
b) object to processing; data portability; and withdraw consent to its processing at any time,
c) lodge a complaint with the supervisory authority, namely: the President of the Personal Data Protection Office, ul. Stanisława Moniuszki 1A, 00-014 Warsaw.
49. Providing personal data is a statutory and contractual requirement and a condition for concluding and performing sales contracts through the Store. The Customer is required to provide the data; failure to do so makes it impossible to conclude and perform a sales contract through the Store.
50. The Controller may make decisions by automated means, including profiling the individuals to whom the personal data relates, in accordance with the principles currently applied by the Controller. Such decisions are intended to provide better service to those individuals, in particular with regard to their exercising their rights or complying with their obligations; informing them about opportunities to purchase goods or services at advantageous prices; promotions and other marketing activities. The only consequences anticipated by the Controller are: improving the situation of the individual to whom the personal data relates, protecting their legitimate interests or enabling them to obtain benefits, as well as preserving the Controller's source of income, optimizing its operations, and using innovative economy tools.
51. The Controller plans to continue processing personal data for a purpose other than that for which it was collected and informs the Customer that such purposes may include, in particular, changes in ownership or legal form, or assignment of receivables. All explanations and information referred to in points 41–49 above shall apply to these purposes.
52. If the Buyer provides the Administrator with the personal data of other persons in connection with the conclusion or performance of sales agreements, the Buyer declares and warrants that they have obtained their consent to do so.
53. The Company applies the Privacy Policy available at: https://centercar-silniki.pl/polityka-prywatnosci/.
H.
54. The Administrator does not consent to disputes being resolved pursuant to the Act on the Out-of-Court Resolution of Consumer Disputes.
55. Polish law shall apply.
56. The Company may amend the Terms and Conditions at any time by publishing the amended Terms and Conditions. Amendments to the Terms and Conditions shall enter into force within 7 days of the publication on the website referred to in section 1 of information about such amendment.

INFORMATION ON THE RIGHT OF WITHDRAWAL
Right of withdrawal from the contract.
You have the right to withdraw from this sales contract within 14 days without giving any reason.

Effects of withdrawal from the contract
If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery of the goods (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to exercise your right of withdrawal from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement. List of the most common risks associated with the use of services provided electronically:
a) attempts to break the cryptographic security of transmissions in telecommunications networks,

c) the threat of computer piracy,
